This website, www.capiche.io (the “Site” or the “Service”), is operated by Capiche Capital Technologies Corporation (“Capiche”).The following terms and conditions (“Terms of Use”) govern the relationship between the user of the Site (“you”) and Capiche in your use of the Service. Capiche disclaims any liability for unauthorized use or reproduction of any portion of the site. Accessing the site from territories where such access may be illegal is prohibited. Limitation of Liability

To the maximum extent permitted by applicable law, Capiche, its directors, officers, employees, agents, partners, licensors and affiliates, and their respective directors, officers and employees, will not be liable for any direct, indirect, incidental, special, consequential or punitive damages of any kind, including without limitation, personal injury or death, loss of profits, data, use, good-will, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Site; (ii) any conduct or content of any third party on the Site, including without limitation, any defamatory, offensive or illegal conduct of other users or third parties; (iii) any content obtained from the Site; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not Capiche has been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose. You agree that the aggregate liability for all claims relating to the Site shall not exceed $20, and that any claims arising in connection with your use of the Site must be brought within one (1) year of the date of the event giving rise to such action occurring.

Indemnity

You agree at all times to indemnify, defend and hold harmless Capiche, its directors, officers, employees, agents, partners, licensors and affiliates, and their respective directors, officers and employees, against all actions, proceedings, costs, claims, demands, liabilities and expenses whatsoever (including legal and other fees and disbursements) sustained, incurred or paid by Capiche directly or indirectly in respect of your use of the Service.

Miscellaneous Legal Terms

No waiver of any provision of the Terms of Use shall be binding on Capiche unless executed by Capiche in writing. No waiver of any of the provisions of the Terms of Use shall be deemed or shall constitute a waiver of any other provision, nor shall such waiver constitute a continuing waiver unless otherwise expressly provided. In the event that any provision of the Terms of Use is held to be invalid or unenforceable, that provision shall be severed from the balance of the Terms of Use and the remaining provisions of the Terms of Use will remain in full force and effect.The Terms of Use are the entire and exclusive agreement between Capiche and you regarding the Service (excluding any services for which you have a separate agreement with Capiche that is explicitly in addition or in place of the Terms of Use), and the Terms of Use supersede and replace any prior agreements between Capiche and you regarding the Site.
